- Antenna Hungária Zrt., one of the subsidiaries of 4iG Nyrt., Corvinus International Investment Zrt. ('Corvinus') representing the Hungarian state and Vodafone Europe BV have today signed the binding agreement for the sale and purchase of 100% of the shares in Vodafone Magyarország Zrt. ("Vodafone Hungary" referred to as the "Object").

- The financial closing of the transaction is expected to take place on January 31 with the purchase of 51% of the indirect controlling shares from 4iG Nyrt. And the acquisition of 49% of indirect shares by the Hungarian state of Vodafone Hungary, the second largest telecommunications company in the Hungarian market.

- The transaction, which will affect the reformation of the market, will enable 4iG Group to strengthen its role as an operator with comprehensive services in all areas of the market.

On January 9, 2023, the parties have signed the sale and purchase agreement, which will be successfully completed with the acquisition of Vodafone Hungary. After due diligence on the target company, 4iG Group and Corvinus agreed with Vodafone Europe BV on the terms of the transaction. The parties agreed on a company value of HUF 660 billion (EUR 1.7 billion), which is 7.1 times the EBITDA of the target company for the financial year ending March 31, 2022. Under the terms of the agreement, 4iG, as an experienced investor, will acquire 51 percent of the controlling shares in Vodafone Hungaria through its subsidiary Antenna Hungária, while the Hungarian state will acquire 49 percent of the indirect shares. The transaction is expected to close on January 31, after the payment is made. JP Morgan SE, one of the world's largest investment banks, helped prepare and close the financing and acted as financial advisor to 4iG. International consultants such as: CMS Cameron McKenna Nabarro Olswang, EY Hungary, Deloitte, Omnitele and global strategy consultant Arthur D. Little were involved in the data analysis (due diligence) of the target company, in the preparation and development of the legal aspects, of evaluation and technical aspects of the transaction.

The transaction announced on the Budapest Stock Exchange is of special importance in the history of Hungarian telecommunications in various aspects. In addition to being one of the largest acquisitions in terms of volume since the regime change, the national group created by merging the fixed and mobile telecommunications portfolios of 4iG Group and Vodafone Hungary will reopen the market in many service areas and strengthen its role, offering comprehensive telecommunication services.

Blerja e Vodafone Hungary gjithashtu mund të riformësojë ndjeshëm balancën e fuqisë së tregut në Hungari, dhe zgjidhjet më të fundit dhe teknologjitë inovative do t'i mundësojnë Grupit 4iG të luajë një rol udhëheqës në transformimin digjital të ekonomisë hungareze.

Pas mbylljes së transaksionit, portofoli i kombinuar i 4iG Group (DigiMobil) dhe Vodafone do të jetë i dyti më i madh në tregun e shërbimeve zanore dhe internetit në celular, i cili është gjeneruesi më i madh i të ardhurave. Për shkak të blerjes 4iG siguron pozicionin e liderit të tregut në shërbimet e internetit me linjë fikse, si dhe do të bëhet lider edhe në tregun e transmetimeve televizive. Sipas llogaritjeve paraprake, kompanitë e telekomit në pronësi të grupit 4iG do të kenë një total prej 7.6 milionë RGU (njësi gjeneruese të të ardhurave) në Hungari pas mbylljes së blerjes.

4iG Group bought last year the fixed and mobile operators, ALBtelecom and ONE Telecommunications in Albania, which legally merged from January 1, becoming a major telecommunications operator. Also 4iG is present in the region in Montenegro with the mobile operator One Crna Gora. The leaders of the 4iG Group have expressed their interest in further expansion in the Western Balkans region.
