Businessman Klodian Allajbeu will be the new owner of the American Hospital. The acquisition will be carried out through the acquisition of control of American Hospital's sole shareholder, the Dutch-registered holding company Balkan Alliance Healthcare BV
Klodian Allajbeu will buy 86.3% of the company through another company (registered in the Netherlands), KA Healthcare BV, for a price estimated at around 24 million euros. The purchase will be partially financed with a loan from the Hungarian bank OTP and its Albanian subsidiary, OTP Albania, in the amount of 16 million euros.
The loan will be taken by the American Hospital company, which in the future will enter into foreign relations with the new controlling shareholder KA Healthcare BV, in order to provide the necessary funds for the purchase of the controlling package of shares in Balkan Alliance Healthcare BV
For this purpose, American Hospital has placed as financial collateral (in addition to other guarantees) in favor of OTP and OTP Albania 100% of its shares, as well as the controlled subsidiaries International Hospital and American Hospital Kosova.
OTP is also committed to disburse a second loan, in the amount of 9.5 million euros, which will serve to refinance the obligations that the company controlled by American Hospital, International Hospital, has with the European Bank for Reconstruction and Development and the Black Sea Bank for Trade and Development.
The American Hospital is the first private hospital in Albania, founded in 2006 (as Univers-Alb sha) precisely by Klodian Allajbeu, in partnership with two Turkish companies. In 2008, the company was acquired by Balkan Alliance Healthcare BV, a company registered in the Netherlands, but controlled by an American investment fund, specializing mainly in investments (private equity) in the capital of small and medium enterprises.
After the purchase by the new shareholders, American Hospital followed a further expansion process in Albania, while in 2011 it also opened its subsidiary in Kosovo, American Hospital Kosova, a company controlled 100% by American Hospital in Albania. In 2018, American Hospital expanded further with the acquisition of the Albanian subsidiary of the Greek hospital group Hygeia (today International Hospital).
Inflation of private hospitals
More than 10 years ago, private hospitals started their investments in Albania, taking advantage of the low level of services in the country and the growing demand of Albanians for quality services.
But this inflation of hospitals does not seem to be profitable. Almost all operate with huge losses even after 6-7 years of activity, while the income is no longer increasing in the last two years. There are also those that are being withdrawn from the market, as happened with Hygeia.
